1. Acceptance of Terms

Welcome to Ledoly. Ledoly is a service owned and operated by SVFF LLC, a United States limited liability company. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SVFF LLC, doing business as Ledoly ("Ledoly," "Company," "we," "us," or "our"), governing your access to and use of the Ledoly platform, including our website at ledoly.com, mobile applications, application programming interfaces, and all related services (collectively, the "Platform").

SVFF LLC is the provider of the Platform and the merchant of record for all payments processed through it. Card payments are handled on SVFF LLC's behalf by our third-party payment processor, Stripe, Inc. See Section 8 (Payment & Billing) and Section 17 (Company & Contact Information) for details.

By creating an account, accessing, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use the Platform.

Your continued use of the Platform following the posting of any changes to these Terms constitutes acceptance of those changes. We encourage you to review these Terms periodically to stay informed of updates.

These Terms apply to all users of the Platform, including without limitation students, tutors, content contributors, and visitors.

2. Eligibility

To use the Platform, you must meet the following eligibility requirements:

  • Age Requirement: You must be at least thirteen (13) years of age to create an account and use the Platform. If you are between the ages of thirteen (13) and eighteen (18), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
  • European Union Users: If you reside within the European Union, you must be at least sixteen (16) years of age to use the Platform without parental consent. Users between the ages of thirteen (13) and fifteen (15) in the EU must obtain verifiable parental or guardian consent before creating an account.
  • Legal Capacity: You must have the legal capacity to enter into a binding contract in your jurisdiction. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
  • Accurate Information: You must provide truthful, accurate, and complete information during registration and maintain the accuracy of such information throughout your use of the Platform.

We reserve the right to refuse service, terminate accounts, or restrict access to the Platform at our sole discretion if we have reason to believe that a User does not meet these eligibility requirements.

3. Account Registration & Security

To access certain features of the Platform, you must register for an account. When registering, you agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain and promptly update your registration information to keep it accurate, current, and complete.
  • Maintain the security and confidentiality of your login credentials, including your password.
  • Not share your account credentials with any third party or allow any other person to access your account.
  • Immediately notify Ledoly of any unauthorized use of your account or any other breach of security by contacting legal@ledoly.com.

You are solely responsible for all activities that occur under your account, whether or not you have authorized such activities. Ledoly shall not be liable for any loss or damage arising from your failure to comply with these account security obligations.

We reserve the right to disable any account at any time if, in our reasonable opinion, you have failed to comply with any provision of these Terms or if activities on your account pose a security risk to the Platform or other users.

4. Platform Description

Ledoly is an AI-powered language learning platform designed for English learners worldwide who seek to improve their American English pronunciation, accent clarity, and overall spoken communication skills. The Platform provides:

  • AI-Powered Accent Coaching: Automated speech analysis and real-time feedback on pronunciation, intonation, rhythm, and connected speech patterns using artificial intelligence technology.
  • Structured Curriculum: Progressive lesson sequences organized into courses, modules, and learning paths tailored to the specific pronunciation challenges learners commonly face.
  • Interactive Activities: A comprehensive set of activity types including conversation practice, listening exercises, pronunciation drills, reading comprehension, quizzes, and more.
  • Tutor Support: Access to qualified human tutors who provide personalized feedback, assessment reviews, and one-on-one coaching sessions, subject to your subscription plan.
  • Progress Tracking: Detailed analytics and performance reports to help you monitor your learning journey and identify areas for improvement.

The Platform is provided "as is" and is continually evolving. We may add, modify, or remove features at any time without prior notice, though we will make reasonable efforts to communicate significant changes.

5. User-Generated Content

The Platform allows users to submit, post, and share content, including but not limited to audio recordings, text responses, written exercises, comments, feedback, lesson materials (for tutors), and profile information (collectively, "User Content").

Ownership. You retain all ownership rights in the User Content you create and submit. For tutors, this includes lesson plans, instructional materials, and educational content created on or uploaded to the Platform.

License Grant to Ledoly. By submitting User Content, you grant Ledoly a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, perform, and create derivative works from your User Content solely for the purposes of operating, improving, and promoting the Platform. This license continues for as long as your User Content remains on the Platform and for a reasonable period after removal to account for backups and cached copies.

Representations. You represent and warrant that: (a) you own or have the necessary rights and permissions to submit your User Content; (b) your User Content does not infringe the intellectual property, privacy, or other rights of any third party; and (c) your User Content complies with these Terms and all applicable laws and regulations.

Removal. You may request deletion of your User Content at any time by contacting legal@ledoly.com. We will make commercially reasonable efforts to remove such content within thirty (30) business days, though residual copies may remain in backups or caches for a limited period.

6. Student Conduct Rules

As a student on the Platform, you agree to abide by the following conduct rules. Violation of these rules may result in warnings, suspension, or permanent termination of your account.

  • No Account Sharing: Your account is personal to you. You may not share your login credentials, allow others to access your account, or transfer your account to another person. Each individual must maintain their own account.
  • Academic Integrity: You must complete all exercises, assessments, and activities using your own effort. Submitting work created by another person, copying from external sources without attribution, or using unauthorized tools to circumvent assessments constitutes plagiarism and is strictly prohibited.
  • Respectful Interactions: You must treat tutors, other students, and Ledoly staff with respect and professionalism. Harassment, bullying, hate speech, discriminatory language, threats, or any form of abusive behavior is prohibited.
  • Appropriate Use: You may not use the Platform for any unlawful purpose, to distribute malware or harmful code, to engage in spamming, or to attempt to interfere with the Platform's operation or security.
  • Recording Consent: You may not record, screenshot, or distribute live tutoring sessions or private interactions without the explicit consent of all participants.
  • Content Distribution: You may not reproduce, redistribute, or commercially exploit course materials, lesson content, or any proprietary content from the Platform without prior written permission from Ledoly.

7. Tutor Conduct Rules

Tutors who provide services through the Platform are required to adhere to the following standards of conduct:

  • Accurate Credentials: Tutors must provide truthful and verifiable information regarding their qualifications, certifications, education, and teaching experience. Misrepresentation of credentials is grounds for immediate account termination.
  • Timely Responses: Tutors are expected to respond to student inquiries, assessment submissions, and scheduled sessions within the timeframes established by their service agreement with Ledoly. Consistent failure to respond in a timely manner may result in reduced visibility on the Platform or account suspension.
  • Appropriate Content: All instructional content, feedback, and communications must be professional, educational, and appropriate for the intended audience. Tutors may not share offensive, discriminatory, or inappropriate material through the Platform.
  • Student Privacy: Tutors must respect the privacy of their students and may not share student information, recordings, assessment results, or personal data outside the Platform without explicit student consent.
  • Platform Exclusivity: Tutors may not solicit students for off-platform services, share personal contact information for the purpose of circumventing the Platform, or direct students to competing services during the term of their agreement with Ledoly.
  • Quality Standards: Tutors must maintain a standard of instructional quality consistent with the expectations set forth in the Ledoly Tutor Guidelines, as updated from time to time.

8. Payment & Billing

Certain features and services on the Platform require a paid subscription or one-time purchase. By subscribing to or purchasing any paid service, you agree to the following terms:

Merchant of Record. All purchases on the Platform are sold by SVFF LLC, which is the merchant of record. Card payments are processed by our third-party payment processor, Stripe, Inc., through SVFF LLC's Stripe account, and are subject to the Stripe Services Agreement. Depending on your bank, charges may appear on your statement as “SVFF LLC,” “LEDOLY,” or “SVFF.” SVFF LLC does not receive or store your full card number; card data is handled directly by Stripe.

  • Currency: All prices are displayed and charged in United States Dollars (USD) unless otherwise specified at the time of purchase.
  • Payment Methods: We accept payment via major credit cards, debit cards, and such other payment methods as may be made available on the Platform from time to time. You must provide a valid payment method and authorize us to charge that method for all fees incurred.
  • Subscription Auto-Renewal: Subscription plans renew automatically at the end of each billing cycle (monthly or annually, as applicable) unless you cancel your subscription before the renewal date. The renewal charge will be the then-current rate for your subscription plan.
  • Cancellation: You may cancel your subscription at any time through your account settings or by contacting legal@ledoly.com. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period for which you have already paid.
  • Price Changes: We reserve the right to change subscription pricing at any time. Any price changes will take effect at the start of the next billing cycle following notice to you. If you do not agree to the new pricing, you may cancel your subscription before the new price takes effect.
  • Taxes: Prices do not include applicable taxes. You are responsible for paying any taxes that may apply to your purchases, as determined by your jurisdiction.
  • Failed Payments: If a payment fails, we may suspend your access to paid features until the payment is successfully processed. We may reattempt to charge your payment method within a reasonable period.

9. Refund Policy

Ledoly offers refunds under certain circumstances as outlined in our dedicated Refund Policy. The Refund Policy covers eligibility criteria, refund timelines, prorated amounts, and the process for requesting a refund.

By making a purchase on the Platform, you acknowledge that you have read and agree to the terms of the Refund Policy. The Refund Policy is incorporated into and forms a part of these Terms.

10. Intellectual Property

Ledoly's Intellectual Property. The Platform, including its design, source code, algorithms, AI models, curriculum structure, branding, trademarks, logos, graphics, user interface elements, and all proprietary content created by Ledoly (collectively, "Ledoly IP"), is the exclusive property of Ledoly and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, lease, or create derivative works based on Ledoly IP without our prior written consent.

Student Ownership of Recordings. Students retain full ownership of their voice recordings, audio submissions, and spoken content created while using the Platform. Ledoly does not claim ownership over your personal voice recordings. However, by using the Platform, you grant Ledoly a limited license to process your recordings for the purpose of providing AI-powered feedback and analysis as described in Section 5.

Third-Party Content. The Platform may contain content licensed from third parties, including but not limited to stock images, audio samples, and educational resources. Such content remains the property of the respective third-party owners and is subject to their licensing terms.

DMCA and Takedown Requests. If you believe that any content on the Platform infringes your intellectual property rights, please contact us at legal@ledoly.com with a detailed description of the alleged infringement. We will investigate and respond in accordance with applicable intellectual property laws.

11. AI Disclaimer

Ledoly utilizes artificial intelligence and machine learning technologies to provide automated feedback on pronunciation, accent, intonation, and other aspects of spoken English. You acknowledge and agree to the following:

  • Not Certified Instruction: AI-generated feedback is provided for educational and informational purposes only. It does not constitute certified language instruction, professional linguistic assessment, or accredited educational services. The AI features of the Platform are tools to support your learning, not replacements for qualified human instruction.
  • Accuracy Limitations: While we strive to provide accurate and helpful AI feedback, artificial intelligence systems are imperfect and may occasionally produce errors, inaccurate assessments, or suboptimal recommendations. You should use AI feedback as one input among many in your learning journey.
  • No Guarantee of Results: Ledoly does not guarantee specific learning outcomes, fluency improvements, or accent reduction results. Individual progress depends on numerous factors including practice frequency, individual aptitude, and engagement with the materials.
  • Continuous Improvement: Our AI systems are continuously being trained and improved. The feedback you receive may change over time as our models are updated, and past assessments may not reflect the current state of our AI capabilities.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SVFF LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to, use of, or inability to access or use the Platform.
  • Any conduct or content of any third party on the Platform, including without limitation any defamatory, offensive, or illegal conduct by other users or third parties.
  • Any content obtained from the Platform, including AI-generated feedback and assessments.
  • Unauthorized access, use, or alteration of your transmissions, content, or data.
  • Any interruption, suspension, or termination of the Platform or any part thereof.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SVFF LLC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU HAVE PAID TO SVFF LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

THE FOREGOING LIMITATIONS SHALL APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND REGARDLESS OF THE THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.

Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply, and you may have additional rights.

13. Termination

Termination by You. You may terminate your account at any time by contacting us at legal@ledoly.com or through the account deletion option in your account settings. Upon termination, your right to use the Platform ceases immediately. If you have an active paid subscription, cancellation and refund terms as described in Sections 8 and 9 apply.

Termination by Ledoly. We may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice, including but not limited to the following circumstances:

  • Violation of these Terms or any applicable Ledoly policy.
  • Conduct that we reasonably believe is harmful to other users, third parties, or the business interests of Ledoly.
  • Extended periods of account inactivity, subject to reasonable prior notice.
  • Requests by law enforcement or government agencies.
  • Discontinuation or material modification of the Platform or any part thereof.
  • Technical or security issues or problems.

Effect of Termination. Upon termination of your account, whether initiated by you or by Ledoly:

  • Your license to access and use the Platform is immediately revoked.
  • We may, but are not obligated to, delete your account data, User Content, and personal information in accordance with our Privacy Policy.
  • You may request an export of your personal data within thirty (30) days of termination by contacting legal@ledoly.com.
  • Any provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to Sections 5, 10, 11, 12, 14, and 15.
  • Outstanding payment obligations remain due and payable.

14. Governing Law

These Terms and any disputes arising out of or relating to these Terms, your use of the Platform, or the relationship between you and Ledoly shall be governed by and construed in accordance with the laws of the State of Delaware, United States, where SVFF LLC is registered, without regard to its conflict of law provisions, and subject to any mandatory consumer-protection rights you may have in your country of residence.

You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the State of Delaware, United States, and you hereby consent to the personal jurisdiction and venue of such courts.

Notwithstanding the foregoing, Ledoly retains the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of Ledoly's intellectual property rights, data security, or confidentiality obligations.

15. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform ("Dispute"), the parties agree to follow this dispute resolution process:

Step 1: Informal Resolution. Before initiating any formal proceedings, you agree to first contact Ledoly at legal@ledoly.com to attempt to resolve the Dispute informally. Both parties shall make a good-faith effort to resolve the Dispute through direct communication within thirty (30) days from the date of the initial written notice.

Step 2: Mediation. If the Dispute cannot be resolved informally within the thirty-day period, either party may initiate mediation. Mediation shall be conducted by a mutually agreed-upon mediator, with proceedings seated in the State of Delaware, United States (or conducted remotely by mutual agreement). The costs of mediation shall be shared equally between the parties, unless the mediator determines otherwise. Mediation proceedings shall be confidential.

Step 3: Arbitration. If the Dispute is not resolved through mediation within sixty (60) days of the commencement of mediation, either party may submit the Dispute to binding arbitration. Arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, with the seat of arbitration in the State of Delaware, United States. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Exceptions. Nothing in this Section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of mediation or arbitration. Claims related to intellectual property infringement may be brought directly before the competent courts as set forth in Section 14.

Class Action Waiver. To the fullest extent permitted by applicable law, you agree that any Dispute resolution proceedings shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive the right to participate in a class action lawsuit or class-wide arbitration.

16. Changes to Terms

Ledoly reserves the right to modify, amend, or update these Terms at any time at our sole discretion. When we make changes, we will:

  • Update the "Last updated" date at the top of this page.
  • Provide at least thirty (30) days' advance notice of material changes through one or more of the following methods: email notification to the address associated with your account, a prominent notice on the Platform, or an in-app notification.
  • Where required by applicable law, obtain your affirmative consent before material changes take effect.

Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue your use of the Platform before the changes take effect.

We recommend that you periodically review these Terms to stay informed of any changes. Previous versions of these Terms will be made available upon request by contacting legal@ledoly.com.
